TERMS AND CONDITIONS
Pertaining to business with Timothy Jones, Darkroom Matter

Definitions
For the purpose of these Terms and Conditions the “Photographer” means Timothy Jones. "Photographs" means all photographic material furnished by the Photographer, in physical or electronic format. “Services” means the application of the Photographer’s creative input, skills, equipment and facilities. The “Client” means the buyer of Photographs and Services from the Photographer.

Copyright
The entire copyright in the Photographs is retained by the Photographer at all times throughout the world. The Photographer reserves the right to show or display the Photographs at will.

Use
From the date of payment of the relevant invoice(s), the Client is licensed to use the Photographs for the promotion of their own business for an indefinite period worldwide, but is excluded from selling, giving, or granting permission to use the Photographs to any third party without the Photographer's permission.

Exclusivity
The Client will be authorised to publish the Photographs to the exclusion of all other persons including the Photographer. However, the Photographer retains the right in all cases to use the Photographs in any manner at any time and in any part of the world for the purposes of advertising or otherwise promoting his/her work.

Payment
Where an estimate has been provided, the price will remain valid for 30 days from the estimate date. Payment by the Client will be expected for the work within 30 days of the issue of the invoice.

Rejection
Unless a rejection fee has been agreed in advance, there is no right to reject on the basis of style or composition.

Cancellation and Postponement
A booking is considered firm as from the date an estimate is accepted and accordingly the Photographer will, at his/her discretion, charge a fee for cancellation or postponement. Whilst the Photographer will make every effort to deliver the Photographs and Services agreed, the Photographer reserves the right to cancel without liability if the Photographer is prevented from delivering and will inform the client as soon as possible.

Right to a Credit
The Client agrees the Photographer's name (Tim Jones, Darkroom Matter) will be printed on or in reasonable proximity to all published reproductions of the Photograph(s) and to the Photographer using the Client’s name in
promotional information.

Damage
While the Photographer will take all reasonable care with goods entrusted to him by the Client or his/her agent, to provide Photographs and Services, Clients are advised to ensure they have insurance for their goods while in transit and in trust of the Photographer. The Photographer will accept no liability for loss or damage to clients'
goods.

Storage
After the Photographs have been supplied to the client, the Photographer has no obligation to store copies.

Delivery Dates
Whilst every effort will be made to meet delivery dates, these are given as an estimate only and the Photographer shall not be responsible for any difficulties or loss arising from any delay.

Cancellation
If a client cancels an order, the Photographer reserves the right to invoice for any incurred cost.

Acceptance of terms and conditions
On accepting an estimate from the Photographer you will have agreed to these Terms and Conditions.

Applicable Law
This agreement shall be governed by the laws of England & Wales

Variation
These Terms and Conditions shall not be varied except by agreement in writing.
